00 Well, Elon Musk does it again, getting all Tesla investors, speechless and worried as well. Of course, this is not new news. This is old news, but he brings it up again as well as we're going to talk about some other interesting stuff that is it's apparently very bad news and one of the reasons why the stock went down as well on Friday. We're going to talk about that as well. So, it's like two news type of video, but we're going to talk about what Elon just said. So, smash that like button, hit subscribe if you haven't already, and let's get down to it. So, it all starts by Tesla owners, Silicon Valley, saying here that Tesla largest shareholders, Elon Musk, Vanguard, Black Rockck, Institutions,
46 and others. A quick look at who holds the biggest stake in Tesla's futures, and you guys can see the diagram here. Elon Musk owns a little bit over 21%. Of course, this is including with his old compensation that's being held up by a Delaware court. Right now, it's it's less than that, but if we go if he adds that, that's how much he would have pre-tax. We'll get to that in a bit. Vanguard, you can see Black Rockck Institutions and others. I think others would be US retail investors, which is insane that we hold over 35% of the stock, which is insane. Alexandria Mers here or Tesla Boomer Mama says this is a bit misleading until we know for the Delaware Supreme Court. As of now, Elon holds about 12.8% of Tesla's outstanding
34 shares totaling over 410 million shares. Now, this is down from around 13% because Tesla is diluting shares through stockbased compensation. Now, I do think that there will be buybacks in the future soon, but this could definitely help Taton as well. We'll get to that in a bit. He has pledged more than half of these shares as collateral for personal loans up to $3.5 billion. Additionally, Elon has options to purchase around 304 million shares from the 2018 compensation package which if exercised could increase his stake to approximately 20 12%. Though these are options are currently under legal dispute and don't give him any voting rights. So these many shares are being
20 held because of make corrupt and she's already been checkmated. I've made a couple videos on these. She really destroyed Delaware. That's all I got to say. A lot of companies are not pulling out because hey, if you're in Delaware, you don't have you're not free. You're not free. You can't it's not enough open market for you. So a lot of companies are pulling out from Delaware and going to other places like Texas. But then Elon Musk sets the facts. He says this just for your information I don't have personal loans at this time against Tesla stock. Also the taxes on the options are around 45%. So net gain in voting control is more like 4%. So if he has 12.8% now he'll he will have around 16.8 or let's just say 17%. Off from his 25%.
06 So that that's a little bit of a concern. And then Elon says here that it is worrying in that I don't want to build millions of robots and then be potentially ousted by activists and unable to ensure that public safety remains of paramount importance. Now we knew this is not new news. This is old news. Elon has mentioned this for a couple years and Tesla is going headon with Optimus cuz Optimus is a Tesla brand and he can't really um take that away from Tesla, but the fact that he's saying that he doesn't want to go balls to the walls with it is a little bit concerning. Now, I do I think there are ways that Tesla will get us 25%. I think the management and the shareholders do
52 want him at 25%, but there are other ways for him to do it. We'll get to that in a bit as well. Alexander M replies back here saying that crazy that so much will go to taxes. So we still have to bridge that gap from 17% to then 25%. You can count on the retail shareholders to fight for it. And I think in my opinion there's no doubt he would do that. Now I took the question to you guys and I got a lot of criticism. People I pissed off a lot of people apparently there's a lot of people got triggered. I'm like just in in a scenario what will people do? So, I made this X post asking you guys, if Elon doesn't get his 25% voting control at Tesla and spins up Optimus into a new company that goes public, would you sell some or all Tesla stock to buy shares in the new Optimus company? Now, of course,
38 just for the record, he can't do that. He can't strip away a product from a public company to make a private company or another public company. That's just he's going to get a lot of lawsuits and he's going to piss off a lot of people. So, that's not possible. But let's say he could do it. Let's say he doesn't get 25%, he maybe he thinks that, you know, in this scenario that it's worth the headache. It's worth the lawsuits because it's so dangerous to public. We have to put this separately. He does do it. What would you guys do? Cuz I want to know what the, you know, what people think here. And here were the comments. Boom here says that if you took Optimus out of Tesla, I would sell every share insane. Cyber Ambassador says you have to assume the spin-off would include shares going to current owners, which I do agree there. Rabbit says that Elon cannot do that. Period. Optimus is a
24 Tesla product, not a Elon product, which is facts again. Ramy says, "Dude, you're losing your mind. You can't do that." And I agree. Elon just can't take Optimus out. But that's not what he said. He said he's not comfortable building millions of them. So maybe they'll make another company. They'll call it something else. make different types of robots that would compete against Tesla if he doesn't get a 25% voting power. But I doubt that's going to happen because there's many ways that Elon can get his 25%. Of course, there's going to be a new competition package in Texas. I think that's going to be coming sometime by end of this year once we know what's going on with the Delaware court thing because I think I think by October is when we will have we will know what's happening and then I think
10 the Tesla board will come out with a new composition package saying that we'll give you 25% if you reach the stock or the valuation upwards of 5 trillion or something like that if it's trenches or tanches. I think that's going to be the case. If that doesn't work then I think there's going to be a class A class B shares. I think that's also very uh realistic. Although there are some hurdles to get through. There are like we got to get voting for that and then we got to there's some you know law hurdles that we got to go get over with. But that's also a possibility as well. There's options. There's well there was one option that I thought that's going to happen but it's not going to happen anymore because Elon confirmed it. XAI and Tesla merging easily Tesla will Elon will have above 25% but Elon said we are not going to do that. So, got that out the way. So, it's either going to be
58 class A, class B, or there's going to be another con, not or I know there's going to be another compensation package that will grant him 25%. On top of that, Elon did mention that buybacks are on the table and we can I think it was in one of his earnings call, he did mention that we can do buybacks to bring that up to 25%. And if he does that, then that that'd be amazing. And I think in the future there will be buybacks for Tesla once Tesla's making crazy amount of cash through robo taxis. I think there'll be a lot of cash to deploy. And I think Elon or Tesla will do buybacks. That's that's 100% certainty. Jason D. Bolt here says here that if there was a way to grant the voting rights to all of my Tesla shares to Elon so he can obtain at least 25% voting control of Tesla, I would do it in a heartbeat. Now Jason
44 Debbolt has a lot of Tesla shares. He's an all-in investor of Tesla. So him saying this is a big sheish. Hopefully the move from Delaware to Texas will open up new possibilities for voting structures and I think um I don't think voting structures will matter or be different. I think the retail investors will vote as they usually do but the possibilities are much more I would say better and less hurdles. I would say that it's more friendly. It's more open and we will see that in the next voting whenever the voting comes. So I'm very excited to see that. So, of course, investors don't like it when Elon talks about this because I mean, this is something that's very important to him. And again, I do think that you talk with the board of directors and they know this. So, I think they're working on it
29 to get his 25% maybe a mix of buybacks, maybe a mix of more compensation package. If that's plan B, then plan B is definitely the class A, class B shares. There's no way Elon's going to take this or build another robot taxi or not a robot taxi, another robot company so he can scale that so he can have more percentage. I think Elon wants to do this 100% at Tesla and he says it all the time at interviews at earnings call that he wants to make millions of these. As he said himself, he would be surprised if they're not producing 100,000 bots a month by 2030. So he wants this millions of robots in Tesla, but he wants his 25%. and I think he's going to get it and I think the board is on board of this. So that was one of the reasons why the stock went down on
14 Friday. The main reason was because job reports was went halted. I don't care about these things but you know whatever. Lower the price the more I'll buy. I bought 11 shares just on Friday. So I love it. The other thing that really, you know, not pissed off a lot of uh investors but got annoyed is this article right here. A jury found Tesla partially liable for a fatal 2019 crash in Kear Largo, Florida, ordering the company to pay $200 million in punitive damages as stunning rebuke for CEO Elon Musk company. Now, this is so stupid. This is obviously Tesla's going to appeal and we know that they appealed. But let's get into this a little more deeper deeper because it's just so stupid. So, here breaks it down for us here nicely. says, "A jury has ordered Tesla to pay $329 million in total
00 damage despite the fact the driver admitted he was distracted by his cell phone. He dropped his phone and was fishing for it, taking his attention off auto pilot." Look, autopilot is very simple, and Tesla is very clear of this, that when you're using it, it's your responsibility to pay attention. It's still not 100%. And they tell you this. So, the fact that you want to go sue and you think you're going to win because you're reaching for yourself when you didn't pay attention, that is a driver's fault, not Tesla's fault. The day hasn't come where Tesla says that, hey, we will take responsibility because it's our stuff. It's our robot taxi. We are in control. Like the robot taxi without a real cyber cap, that's definitely going to be Tesla's fault or anything like that,
45 whatever happens. But by that by that time happens, that thing's going to be almost flawless. This was autopilot, not even FSD. This was autopilot and they're very clear with autopilot. If you're going to use it, it's your responsibility. If anything happens, it's your responsibility. It's in the blueprint and in the fine print. So, I don't know why they think they're going to get away with this and get $200 million or $300 million, whatever the amount is from Tesla. This is not possible. And of course, Tesla has appealed to this. So clearly points out here that Tesla specifically states active safety features are designed to assist drivers but cannot respond in every situation. It is your responsibility to stay alert, drive safely, and be in control of your
31 vehicle at all times. Attorney representing Tesla, he said he was fishing for his phone. It's a fact that happens in any car that isolates the cause. The cause is he dropped his cell phone. Exactly. And he even said this too. That's what is I mean and of course Elon said we're going to appeal and Tesla did appeal of this. So this is just saber rattling in my opinion and I think they're going to win this case again because it's not Tesla's fault. And this is 2019. Autopilot now 2019 is much more different. So these are the news that what that has happened and got to love Elon man. You got to love Elon. Now the second news is whatever
17 but the first one Elon reiterating that he wants 25% and I do think he is going to get 25%. So should you be worried? No, I don't think so. I think again Elon wants to do the optimistic millions at Tesla but he wants 25%. Will the board give him? I think so he would and trenches if not in AB uh class shares as well as buybacks on top of that. I think all I think all is going to work out. I don't think it's very even efficient for Elon to strip that all. He can't really strip that up cuz that's Tesla's property. I don't think Tesla I don't think Elon wants to make another company for robots. I think if he does that things are he's going to be a little late because there's a lot more competitions when it comes to Optimus
03 bots or robots human robots than there is for robot taxis. So sheesh, if you guys are worried, don't worry. I think things are going to be fine. Things are going to be more than fine. And in fact, so fine that I brought CERN Basher back on the channel and we pretty much updated our 2035 stock price prediction and we focused a lot on robo taxis whenever that gets deployed and the stock price, all that kind of stuff. It was an awesome, awesome podcast between him and I. Check the video here if you're a channel member. You guys have access to it. If you guys aren't, it'll be up Monday morning. Don't worry.
